Welcome to Pulse. These Terms of Service ("Terms") govern your access to and use of the Pulse website, mobile applications, and related services (collectively, the "Service"), operated by Miamisdistributor LLC ("Pulse," "we," "us," or "our").
Creating a Pulse account means you agree to these Terms. That one agreement covers these Terms as they exist when you sign up, and later updates that take effect under Section 2 after we notify you. Using the Service without an account also means you agree to these Terms. If you do not agree, do not create an account or use the Service. Agreeing to these Terms is not consent to marketing email. Marketing email is optional and is described in the Privacy Policy.
1. What Pulse Is
Pulse is a nightlife platform connecting venues, artists/DJs, promoters, and fans through a vertical video feed, event discovery, ticketing, and artist booking tools. Pulse is a platform and marketplace. We are generally not the organizer, host, or performer of any event listed on the Service, and we are not a party to bookings arranged between venues and artists, except as expressly stated in these Terms.
2. Changes to These Terms
We may change the Service and these Terms so they match how Pulse actually works.
Unless the law requires otherwise, if we make a material change to these Terms we will notify you (for example in the app, by email to the address on your account, or both) and give you a chance to review the updated Terms before they take effect. We will state an effective date. Updates are not retroactive unless the law requires it. Posting a new version of these Terms on the website, without notice to you, is not how a material change takes effect.
If you keep using Pulse after an update takes effect, you accept the updated Terms. If you do not agree, stop using Pulse and delete your account.
Creating an account is the one-time agreement to these Terms, including this Section 2. That agreement is not consent to marketing email, marketing texts, or any paid subscription. Marketing email is optional and is described in the Privacy Policy. Pulse Pro and other paid subscriptions are governed by the disclosures shown at checkout and by applicable auto-renewal law, not by this Section 2 alone.
If a change would take away important rights (for example, changing where you can sue, narrowing our liability in a material way, adding arbitration, or selling personal information), we may require you to accept the updated Terms in the app before you keep using Pulse. Continued use alone is not enough for those changes.
3. Eligibility
You must be at least 18 years old to create a Pulse account. By creating an account, you represent that you meet this requirement and that you have the legal capacity to enter into these Terms. If you are accessing the Service on behalf of a business (a venue, artist management company, or promotion company), you represent that you have authority to bind that business to these Terms.
4. Accounts
- You may create an account using email/password, phone number, or Google sign-in.
- You're responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
- Account roles (Fan, Artist, Venue, Promoter) determine which features are available to you. We may verify certain account types (e.g., venue or artist verification) and may request supporting information to do so.
- You must provide accurate account information and keep it up to date.
- Notify us promptly at app@movinpulse.com if you suspect unauthorized use of your account.
5. Communications
Transactional email. Pulse sends transactional email (for example: account security, password and invite mail, ticket confirmations, booking status, shipping) through our transactional email provider (currently Resend). Transactional email is not marketing.
Text messages — two separate programs. Pulse does not send marketing or promotional SMS. Creating an account, agreeing to these Terms, or requesting a one-time password does not subscribe you to marketing texts, marketing email, or ticket/booking SMS. See SMS Terms below.
(1) One-time passwords (OTP). If you provide a mobile number to sign in or verify that number, you consent to receive a one-time transactional security code for that request. That consent is OTP-only. It does not enroll you in any other text program. Providing a phone number at OTP is not consent to ticket, booking, listing, or Account Notifications SMS. Message frequency is one code per request you make. Standard message and data rates may apply. Carriers are not liable for delayed or undelivered messages.
(2) Account Notifications (optional; separate campaign). Pulse may also offer transactional texts about your account, tickets, bookings, and events you follow or purchase (for example: ticket confirmations, transfer and entry notices, booking status, event time or venue changes for those events). Account Notifications is a separate optional campaign. You are enrolled only if you opt in to that campaign separately. Creating an account, agreeing to these Terms, requesting an OTP, or buying a ticket does not grant ticket, booking, listing, or account-notification SMS. You do not have to join Account Notifications to create an account or to buy tickets.
For help with Pulse texts, reply HELP to the number that texted you, or email app@movinpulse.com. To stop Pulse texts of the type that number sent, reply STOP. We will confirm the opt-out. After STOP, we will not send further campaign texts of that program to that number. If you later ask Pulse to send a sign-in code to that number, that request may send one security code for that request. STOP on Account Notifications does not by itself stop OTP codes you later request. Opting out of texts does not remove your phone number from your Pulse account; we keep it on file for account security, fraud prevention, and administration, as described in the Privacy Policy.
Creating an account and agreeing to these Terms does not subscribe you to marketing texts or to Account Notifications. The invited Pulse accounts that already existed when marketing email launched were subscribed to marketing email; those people had already accepted Pulse personally before this clickwrap existed. That is not the same as opting in to texts. New accounts receive marketing email only if you check the separate optional box at signup (or later turn it on in Settings). We do not send marketing to phone-only synthetic addresses (p…@phone.movinpulse.com). A later update to these Terms does not by itself subscribe you to marketing texts, marketing email, or Account Notifications. Marketing email is optional and is described in the Privacy Policy (separate Box 2 at signup, or Settings).
Supported carriers may include AT&T, T-Mobile, Verizon, and others. Wireless carriers are not liable for delayed or undelivered messages.
You must be 18 or older to create a Pulse account and to join a Pulse text program.
SMS Terms
Program: Pulse, operated by Miamisdistributor LLC. These SMS Terms cover two separate text programs. Pulse does not send marketing or promotional SMS. We do not sell SMS opt-in data. Twilio (including Twilio Verify) is our SMS processor.
OTP program. By providing your phone number for Pulse account verification, or by requesting a sign-in code, you consent to receive a one-time transactional security code on your mobile device for that request. These texts are not marketing. Requesting OTP, creating an account, or agreeing to these Terms is not consent to Account Notifications or to ticket, booking, or listing texts.
Account Notifications program (optional). Transactional notices about your account, tickets, bookings, and events you follow or purchase are a separate campaign. You are not enrolled by creating an account, agreeing to these Terms, providing a phone number at OTP, or requesting a security code. Enrollment requires a separate optional opt-in for Account Notifications.
Message frequency varies (OTP: one per request; Account Notifications: varies if you opt in). Standard message and data rates may apply. For assistance, reply HELP or email app@movinpulse.com. To stop receiving messages of the program that texted you, reply STOP at any time. We will send one confirmation. After STOP, we will not send further campaign texts of that program to that number. A later request for a sign-in code may send one security code for that request. Carriers are not liable for delayed or undelivered messages. You must be 18 or older to join a Pulse text program. Supported carriers may include AT&T, T-Mobile, Verizon, and others.

6. User Content
"User Content" means any video, photo, text, comment, profile information, or other material you upload, post, or otherwise make available through the Service.
6.1 License to Pulse. You retain ownership of your User Content. By posting User Content, you grant Pulse a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify (for formatting, thumbnails, clips, and technical display), distribute, publicly perform, publicly display, and otherwise use your User Content solely to operate, promote, secure, and improve the Service. That license does not authorize Pulse to sell your User Content as a standalone product or to use your private messages or non-public content to train general-purpose AI models. The license ends when you delete the content or your account, except for content others have shared, reasonable backups and caches, and copies we must keep by law or for dispute/fraud prevention.
6.2 Your Responsibilities. You represent that you own or have the necessary rights, licenses, and permissions to post your User Content, and that it doesn't infringe any third party's intellectual property, privacy, or other rights.
6.3 Removal. We may remove or restrict access to User Content that violates these Terms, our Acceptable Use Policy, or applicable law, with or without notice, at our discretion.
7. Acceptable Use
You agree not to use the Service to violate the law, infringe others' rights, harass or threaten other users, post spam, impersonate others, scrape or harvest data without permission, interfere with the Service's operation, or circumvent any access controls. A full list of prohibited conduct is set out in our Acceptable Use Policy (https://www.movinpulse.com/acceptable-use), which is incorporated into these Terms by reference.
8. Tickets and Events
- Pulse may facilitate the sale of tickets to events listed by venues on the platform ("Primary Tickets"). When enabled, ticket purchases are processed through our payment processor, and pricing/availability is set by the venue.
- Events are organized by third-party venues/promoters, not by Pulse. Pulse is not responsible for event cancellations, changes, venue conduct, or the safety of any event. Check event listings for the organizer's own policies.
- Some events discovered on Pulse may also link to tickets sold on other platforms (for example, Dice, Ticketmaster, Posh, or Eventbrite). Those sales are between you and that platform; Pulse is not the seller.
- Refunds for Primary Tickets follow our Refund Policy (https://www.movinpulse.com/refunds) and any lawful policy stated on the event listing. In short: cancelled events get a full refund including fees; postponed or materially changed events are refundable on request; buyer's remorse is generally non-refundable.
- Ticket purchase functionality may be limited or unavailable while in preview/testing status, as reflected in the app at the time of purchase.
9. Resale Marketplace
Resale is not currently enabled for general use. Where enabled in the future or in a limited rollout, Pulse's marketplace may allow eligible users to list tickets for resale and other users to purchase them, with funds held by our payment processor (Stripe) until the transaction is confirmed complete. Pulse is not a licensed escrow agent; Stripe holds the funds under Stripe's terms.
- Sellers are responsible for ensuring they have the legal right to resell their ticket, and for complying with any resale restrictions set by the original ticket issuer or applicable law.
- Resale price, refund, and disclosure requirements vary by state and jurisdiction. Sellers and buyers are responsible for complying with the resale laws that apply to them.
- Pulse charges a marketplace fee as disclosed at the time of listing/purchase, which is subject to change.
- Disputes between buyers and sellers are handled through Pulse's dispute process, described in-app. Pulse's decision on a dispute, made in our reasonable discretion based on the information available, is final as between the parties to that transaction, without prejudice to any legal rights either party may separately have.
10. Artist Booking
Pulse provides tools for venues and artists to send booking requests, quotes, and confirmations. Pulse is a facilitator of these connections, not a party to the booking agreement between the venue and artist, unless we expressly agree otherwise in a specific case. Venues and artists are responsible for the terms of their own agreements, including payment, cancellation, and performance terms, except to the extent Pulse's booking fee terms (below) apply. Booking payments are processed by Stripe; Pulse is not a licensed escrow agent. Cancellation and no-show refunds are described in our Refund Policy.
11. Payments and Fees
- Payments on the Service are processed by our third-party payment processor (Stripe). By making a payment, you also agree to Stripe's terms of service.
- Where Pulse facilitates payouts to artists, venues, or promoters (e.g., booking fees, ticket revenue, marketplace proceeds where enabled), payouts are made via Stripe Connect to the bank account you connect. You're responsible for providing accurate payout information and for any tax reporting obligations related to funds you receive. Primary ticket payouts are typically subject to a hold period (currently 48 hours) as disclosed to venues.
- Pulse's service fees (currently: about 5% on booking rates and ticket-hosting revenue, plus a $1 per person scanned fee that is waived for Pulse Pro subscribers; free events $0) are disclosed at the point of the relevant transaction and may change with notice.
- Pulse may also sell merch such as NFC wristbands as merchant of record. Wristbands are Pulse identifiers, not stored-value wallets, unless we clearly offer and load that feature.
- Fees and purchases are non-refundable except as required by law or as stated in our Refund Policy.
12. Pulse Pro
Pulse may offer a paid subscription ("Pulse Pro") billed through Stripe. Agreeing to these Terms does not enroll you in Pulse Pro or authorize auto-renewal. Price, billing period, auto-renewal, and how to cancel are disclosed at Stripe Checkout (or the in-app paywall that opens Checkout) before you pay. You can manage or cancel in Settings → Manage Pulse Pro through the Stripe Customer Portal. Subscription terms at checkout and applicable auto-renewal law control — not Section 2 alone.
13. Third-Party Services
The Service relies on third-party providers to operate, including but not limited to: Stripe (payments and payouts), Supabase (data storage and authentication infrastructure), Resend (transactional email), Loops (marketing email only), Twilio (OTP and, if you separately opt in, Account Notifications SMS), MapLibre and map data providers (maps/location display), Google (sign-in), and Apple (sign-in). Your use of certain features may also be subject to those providers' own terms. Pulse is not responsible for the acts or omissions of third-party providers, though we select and configure them to protect your data appropriately.
14. Privacy
Our collection and use of your information is described in our Privacy Policy (https://www.movinpulse.com/privacy), which is incorporated into these Terms by reference.
15. Intellectual Property
The Service, including its design, features, and Pulse's own content (excluding User Content), is owned by Pulse and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service except as these Terms expressly allow. For copyright infringement claims regarding User Content, see our Copyright & Content Removal Policy (https://www.movinpulse.com/copyright).
16. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, PULSE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PULSE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT, EVENT, ARTIST, VENUE, TICKET, BOOKING, OR THIRD-PARTY OFFERING WILL MEET YOUR EXPECTATIONS OR BE AVAILABLE WHEN YOU WANT IT.
YOU UNDERSTAND THAT NIGHTLIFE EVENTS INVOLVE INHERENT RISKS. PULSE IS A PLATFORM. WE ARE NOT THE ORGANIZER, HOST, SECURITY PROVIDER, OR PERFORMER OF EVENTS LISTED ON THE SERVICE UNLESS WE EXPRESSLY SAY OTHERWISE IN WRITING. VENUES, ARTISTS, AND PROMOTERS ARE RESPONSIBLE FOR THEIR OWN EVENTS, DOOR POLICIES (INCLUDING 21+ RULES), SAFETY, AND CONDUCT.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS. WHERE THAT IS TRUE, SOME OF THE ABOVE MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PULSE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF PULSE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PULSE'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO PULSE FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE PLACES, PULSE'S LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
18. Indemnification
You will defend, indemnify, and hold harmless Pulse and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your breach of these Terms or the Acceptable Use Policy; or (d) your violation of any law or third-party right. Pulse may assume exclusive defense and control of any matter subject to indemnification; you will cooperate. This section survives termination.
19. Dispute Resolution
Informal resolution. Before filing a lawsuit, email app@movinpulse.com with a short description of the dispute and the relief you want. We will try to resolve it in good faith within thirty (30) days. This step does not apply to claims for injunctive or other equitable relief to stop unauthorized use or IP infringement.
Exclusive venue. You and Pulse agree that any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida. You and Pulse consent to personal jurisdiction in those courts and waive any objection that those courts are an inconvenient forum, to the maximum extent permitted by law. If a court finds this venue clause unenforceable as to a particular claim, that claim may be heard where the law requires; the rest of these Terms still apply.
No arbitration. These Terms do not include an arbitration agreement or a class-action waiver.
20. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where applicable law requires otherwise.
21. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your account if you violate these Terms, our Acceptable Use Policy, or for other reasonable business or legal reasons, with notice where practicable. Sections that by their nature should survive termination (e.g., User Content license for already-shared content, indemnification, limitation of liability) will survive.
22. Miscellaneous
If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. These Terms, together with our Privacy Policy, Acceptable Use Policy, Refund Policy, Cookie Policy, and DMCA / Copyright Policy, constitute the entire agreement between you and Pulse regarding the Service. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
